These Terms of Use (the "Terms") govern your access to and use of FocusGroups-AI.com and related websites, apps, APIs, and services (collectively, the "Services"), which are operated by Nison Consulting, LLC ("NisonCo," "we," "us," or "our"). If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes that organization.

2. What the Services are (and are not)

The Services provide AI-generated personas and simulated group discussions; dashboards and transcripts; analytics and summaries; and related tooling for workflow and collaboration. The Services are not human-subjects research, professional advice (legal, medical, financial, HR, or otherwise), or a substitute for your own judgment. Outputs are synthetic and directional: they simulate plausible audience reactions and are not statements, opinions, or data from real people. You are responsible for independently reviewing any output before use.

3. Eligibility

You must be at least 18 years old to use the Services. If you are under 18, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. The Services are not intended for children under 13 and may not be used by them.

4. Accounts & security

You must provide accurate information, keep your account secure, and promptly update any changes. Unless a plan explicitly permits shared seats, an account is for a single user only. You are responsible for all activities that occur under your credentials. Notify us immediately if you suspect unauthorized use.

5. Acceptable Use Policy

You agree not to, and not to allow third parties to:

  1. Violate laws or third-party rights (including privacy, publicity, and intellectual property rights).
  2. Upload or input content you do not have the right to use or that includes others' confidential or personal data without permission.
  3. Attempt to identify or target real individuals using synthetic data or outputs; conduct doxxing, profiling, or harassment; or generate deceptive content intended to mislead.
  4. Impersonate any real person or organization; present synthetic personas, transcripts, or other outputs as the views, statements, or survey responses of real people; or use the Services to create deceptive political content, voter-suppression material, or content intended to interfere with elections.
  5. Use the Services to create, test, or promote content that advocates hatred, violence, harassment, or discrimination against people based on race, ethnicity, religion, national origin, sex, sexual orientation, gender identity, disability, or immigration status.
  6. Use the Services for high-risk or safety-critical purposes (including medical, legal, financial, or employment decisions) without appropriate human review and independent verification.
  7. Reverse engineer, decompile, scrape, or circumvent technical restrictions or rate limits; access the Services via automated means not provided by us; or attempt to derive source models or training data.
  8. Upload malware or attempt to interfere with networks, hosts, or users; conduct penetration testing or vulnerability research without our written permission.
  9. Use the Services to train, fine-tune, or evaluate a competing model or service, except as permitted in a written agreement with us.
  10. Use the Services in violation of economic sanctions or export control laws.
  11. Bypass usage caps, seat limits, credit allowances, or plan restrictions.

If a third-party model or provider powers a feature (for example, Anthropic's Claude API), you must also comply with that provider's usage/acceptable-use rules (including its Usage Policy). We may remove or restrict content or features to comply with law, policy, or safety requirements.

6. Your content (inputs, uploads, prompts, transcripts)

You retain ownership of your inputs, uploads, prompts, transcripts, and other content you provide ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative works of User Content solely to operate, maintain, secure, and improve the Services; to provide support; to comply with law; and to enforce these Terms.

6.1 Product improvement & training

We do not use your User Content to train AI foundation models (ours or anyone else's). We may use User Content to improve product features (e.g., safety filters, de-identification, relevance) and to develop usage analytics. Where a feature relies on user-level signals for improvement, we will provide an in-product control so you can opt in or opt out. Some aggregated, de-identified telemetry may be collected for reliability and abuse prevention.

6.2 Third-party services

We may use third-party hosting and AI model providers to process User Content. Where we do, we contractually limit their processing to providing the Services, and we do not sell personal data. When you enable a third-party integration, you authorize us to share the minimum necessary data to provide that integration.

6.3 Responsibility for your content

You are responsible for your User Content and for ensuring you have all rights necessary to provide it. We may remove or disable content that we reasonably believe violates law or these Terms.

7. AI outputs & usage rights

Subject to these Terms and the rights of others, you own the outputs you generate through the Services ("Outputs"). We do not claim ownership in your Outputs. Outputs may be similar to outputs we provide to others. We do not promise that Outputs are accurate, complete, original, or non-infringing. You are responsible for your use of Outputs, including obtaining any permissions from third parties as needed. If you share or publish Outputs, you must not present them as the views, statements, or research responses of real people.

8. Privacy & data handling

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference. The Privacy Policy explains what we collect, how we use it, the bases for processing, retention, your choices (including AI training/improvement preferences), and how to contact us about privacy. If we materially change our privacy practices, we will provide appropriate notice as described there.

9. Plans, credits, and billing

The Services run on credits. Each study (for example, a poll, A/B test, brainstorm, deep dive, focus group, or 1:1 chat) costs a set number of credits, which is shown in the app before you run it. If a study fails to complete, the credits for it are refunded to your balance automatically.

Free credits

New accounts receive a one-time grant of welcome credits after verifying their email (these expire after a set period), plus a small allotment of free credits each month. The free tier does not auto-convert to a paid plan.

Paid plans

Paid plans include a monthly credit allowance and are billed in advance, auto-renewing at the end of each billing cycle unless you cancel. Unused monthly credits roll over up to a cap (currently twice your monthly allowance). We disclose the current price, credit amount, and renewal frequency at or before checkout. You authorize us (and our payment processors) to charge your payment method for all applicable fees and taxes.

Top-ups

You can buy additional credits at any time as a one-time purchase. Top-up credits do not expire and are used only after your monthly and free credits are exhausted.

Changes to prices and limits

Current prices, credit amounts, and limits are shown on our pricing page and in the app, and may change over time. Changes do not affect a billing term you have already paid for.

Cancellation & refunds

You can cancel at any time in-app or by contacting us at evan@nisonco.com. Your paid plan remains active through the end of the current billing term, after which your account returns to the free tier. Except where required by law, payments and purchased credits are non-refundable, and cancellation does not generate prorated refunds.

10. Service changes & availability

We may add, modify, or discontinue features; impose usage caps; or provide preview/beta functionality. We will use commercially reasonable efforts to minimize disruptive changes but cannot guarantee uninterrupted availability.

11. Feedback & beta features

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you. Beta or experimental features are provided "as is," may be discontinued at any time, and may be subject to additional terms.

12. Intellectual property

The Services, including software, models, interfaces, design, and content we provide (excluding your User Content and Outputs), are protected by intellectual-property laws and remain our exclusive property or that of our licensors. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

13. Copyright policy (DMCA)

We respect intellectual-property rights and respond to clear notices of alleged infringement. If you believe content available through the Services infringes your copyright, please submit a notice to our designated agent with: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the material claimed to be infringed; (c) identification of the infringing material and information reasonably sufficient to permit us to locate the material; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement under penalty of perjury that the information is accurate and you are authorized to act.

We may remove or disable access to allegedly infringing material and terminate repeat infringers. Counter-notice procedures are available for good-faith disputes.

16. Indemnification

You will indemnify and hold harmless NisonCo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Services; or (c) your violation of these Terms or applicable law.

17. Export controls & sanctions

You may not access or use the Services in or for the benefit of any country, person, or entity subject to U.S. or other applicable sanctions or export restrictions. You represent that you are not located in any embargoed country and are not on a restricted party list. You agree not to use the Services for any prohibited end-use under export control laws.

18. Third-party services & pass-through terms

Certain features may rely on third-party providers (e.g., cloud hosting, payment processors, AI model providers such as Anthropic (Claude API)). Your use of those features is subject to those providers' terms and policies in addition to these Terms. We are not responsible for third-party services and do not control their content or performance.

Claude API specifics

When we route your prompts and related inputs to Anthropic's Claude API to generate outputs, Anthropic acts as our service provider/processor. As of today, Anthropic states it does not use customer API inputs/outputs to train its foundation models by default, and may retain API inputs/outputs for a limited period for reliability, security, and abuse prevention (with longer retention if required by law or for policy enforcement). We do not currently enable Anthropic's optional zero-data-retention setting. Your use of any Claude-powered features must comply with Anthropic's usage policy and other applicable terms. We may change model providers or routing from time to time and will update this disclosure as needed.

19. Governing law; venue; arbitration

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules.

Arbitration & class-action waiver

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. Arbitration will take place in Middlesex County, New Jersey, or another location we both agree to, or by videoconference if permitted by the arbitrator. You and we waive any right to a jury trial or to participate in a class action.

Small-claims option & 30-day opt-out

Either party may bring an individual claim in small-claims court in a county of residence. You may opt out of arbitration and the class-action waiver within 30 days of first accepting these Terms by emailing evan@nisonco.com with your name, the email associated with your account, and a clear statement that you wish to opt out. Opting out will not affect other provisions of these Terms.

20. Term; termination; right to refuse service

These Terms remain in effect until terminated. You may stop using the Services at any time. We may suspend or terminate your access immediately if we believe you have violated these Terms, pose a risk, fail to pay fees, or as required by law. Upon termination, your right to use the Services ends. We may retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, subject to our Privacy Policy.

We may also decline to provide, or discontinue providing, the Services to any person or organization for any lawful reason, at our sole discretion. If we terminate your access without cause (rather than for a violation of these Terms), we will refund the prorated unused portion of any prepaid subscription term and the unused balance of purchased top-up credits.

21. Changes to the Services or Terms

We may update the Services and these Terms from time to time. If we make material changes, we will provide notice (e.g., by email, in-app notice, or by updating the "Last updated" date). Changes apply prospectively. If you do not agree, you must stop using the Services before the changes take effect.

22. Assignment; successors

We may assign these Terms, in whole or in part, to an affiliate, a successor in interest (including by merger, acquisition, corporate reorganization, or asset sale), or in connection with a financing, without your consent. (For example, if a separate LLC owned by NisonCo later operates the Services.) You may not assign or transfer these Terms without our prior written consent, and any attempt to do so is void. These Terms bind and inure to the benefit of each party's successors and permitted assigns.

23. International terms (if you access from outside the U.S.)

If you access the Services from outside the United States, you are responsible for compliance with local laws. Where required by applicable law (for example, in the EU/EEA), our Terms and policies will be made available in clear and understandable language, and additional disclosures may apply. Where legally required, we may designate a local representative or contact point.

24. Notices

We may provide notices to you via email, in-product notifications, or postings within the Services. You consent to receive electronic communications and agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

25. Entire agreement; severability; waiver

These Terms, together with any order forms or service-specific terms and our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements on the subject. If any provision is found unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver of future enforcement.
